By accessing or using the GuideUplift website at https://guideuplift.com, you agree to be bound by these Terms of Service. If you do not agree, please do not use the site.

GuideUplift (operated by Vision Partners International LLC) operates an SMS marketing messaging program through which we send recurring automated marketing text messages to subscribers who have provided prior express written consent through the opt-in form at https://guideuplift.com/pages/sms-alerts.
Consent
By checking the dedicated, unchecked marketing checkbox at signup, you give your prior express written consent to receive recurring automated marketing SMS messages from GuideUplift. These messages may include information about resource programs, grants, scholarships, affordable housing opportunities, unclaimed funds, exclusive offers, and related content published on GuideUplift.
Message Frequency
We may send up to 30 messages per month, though message frequency varies based on activity and content updates.

Opt-Out
You can opt out at any time by replying STOP to any message we send. Limitation of Liability

This includes, but is not limited to, loss of data, loss of income, or any harm resulting from reliance on information published on the site. Our total liability to you for any claim will not exceed the amount you paid us, if anything, in the twelve months before the claim arose.
Indemnification
You agree to defend and hold harmless Vision Partners International LLC and its owners, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) that arise from your use of the site or your violation of these Terms. This obligation survives any termination of your access to the site.
Termination
We may suspend or end your access to GuideUplift at any time if we believe you have violated these Terms or if we need to do so for operational or legal reasons. You may stop using the site at any time. Sections of these Terms that by their nature should survive termination will continue to apply after your access ends.
Governing Law and Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules.
Informal Resolution
Before initiating any formal legal proceeding, you agree to contact us at contact@guideuplift.com and give us 30 days to attempt to resolve the dispute informally. If we are unable to resolve the dispute within that period, either party may proceed as described below.
Binding Arbitration
Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or your use of GuideUplift, including questions about the existence, validity, or termination of these Terms, will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration will be conducted in Miami-Dade County, Florida, or by telephone or video conference at your election. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
Class Action Waiver
YOU AND VISION PARTNERS INTERNATIONAL LLC EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE AS TO ANY SPECIFIC CLAIM, THAT SPECIFIC CLAIM SHALL BE SEVERED AND RESOLVED IN COURT WHILE ALL OTHER CLAIMS CONTINUE IN ARBITRATION.
Injunctive Relief
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in the state or federal courts located in Miami-Dade County, Florida, to prevent irreparable harm pending the resolution of a dispute in arbitration.
Arbitration Opt-Out
You may opt out of this arbitration agreement by sending written notice to contact@guideuplift.com within 30 days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts of Miami-Dade County, Florida.
Severability
If any provision of this Governing Law and Dispute Resolution section is found unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
Changes to These Terms
We may update these Terms from time to time. If we make changes, we will post the revised Terms on this page and update the "Last updated" date at the top. Your continued use of GuideUplift after any changes means you accept the updated Terms.
